Content Catalyst 12-Month Programme Agreement
Version: v1.2
Effective date: 13 October 2026
1. Parties and acceptance
1.1 This Agreement is between Deborah Szabo ABN 65 019 159 662, trading as Deb Szabo (Provider, we, us, our), and the person or organisation identified as the purchaser at checkout (Member, you, your).
1.2 It governs your purchase of and participation in Content Catalyst (Programme).
1.3 You accept this Agreement when you complete checkout. Electronic acceptance has the same effect as signing, to the extent permitted by law.
1.4 If you purchase for a company, partnership, trust or other organisation, you confirm you have authority to bind it, and Member includes that organisation.
1.5 You must be at least 18 and legally capable of entering this Agreement.
1.6 The version shown and accepted at checkout applies to your purchase. We will retain the agreement version, effective date, purchase record and acceptance evidence.
1.7 If the checkout and this Agreement conflict, the order of priority is: any non-excludable law, then a written variation accepted by both parties, then the checkout schedule for your purchase, then this Agreement.
1.8 Because the checkout ranks above this Agreement, we must keep the checkout description of price, term, inclusions and renewal consistent with this Agreement and Schedule 1.
2. Definitions
2.1 In this Agreement:
Annual Route means paying one amount for each 12-month term.
Australian Consumer Law or ACL means Schedule 2 to the Competition and Consumer Act 2010 (Cth), as amended.
Business Day means a day other than a Saturday, Sunday or public holiday in New South Wales.
Initial Term means the first 12 months, beginning under clause 4.
Instalment Route means paying the price for 12 months of access by 12 monthly instalments. You are purchasing 12 months of access and paying that price in instalments. The instalments are not separate monthly purchases and this is not a cancel-anytime arrangement.
Member Content means information, files, prompts, data, brands and materials supplied by or for the Member.
Provider Materials means materials created and owned by the Provider, or licensed to the Provider with a right to supply them to Members, including training, recordings, guides, templates, frameworks, workflows, prompts, skills and resources.
Renewal Term means each further 12-month term beginning under clause 5.
Third-Party Materials means any software, platform, artificial intelligence service, repository, skill, plugin, code, package, connector, integration, template, content, file or resource owned or supplied by someone other than the Provider, including anything obtained from GitHub.
Term means the Initial Term and any Renewal Term.
3. What the Member receives
3.1 Content Catalyst is a 12-month AI for business implementation and resource hub. For the Term, the Member receives:
(a) live and recorded practical implementation training, including live coaching sessions held on the schedule set by the Provider;
(b) replays of recorded sessions in the member library; and
(c) resources, templates and training made available through the Programme during the Term.
3.2 The Annual Route also includes the items in clause 13.
3.3 The Programme is educational and advisory, for the Member to implement in their own business. Apart from the Power Session in clause 13, and unless the checkout says otherwise, it does not include one-to-one consulting, bespoke advice, done-for-you implementation, software development, managed cybersecurity, or legal, financial or tax advice.
3.4 Attending sessions and using resources is optional. Choosing not to use an inclusion does not shorten the Term or reduce the price.
3.5 The Programme may evolve as technology and platforms change. We may reasonably update, replace, reorganise or retire individual materials, session formats or platform features where the overall substance and value of the Programme are not materially reduced.
3.6 We will not make a material adverse change to the core paid inclusions in clause 3.1 or 13 without reasonable notice and a reasonable remedy, having regard to the nature of the change and any rights under the ACL.
3.7 The Programme does not include third-party licences, subscriptions, usage charges, hardware, internet access, travel or accommodation unless the checkout expressly says so.
4. Initial Term
4.1 The Initial Term begins on the date the Member's first payment is successfully processed, and runs for 12 months.
4.2 Both payment routes buy the same 12 months of access. They are payment choices, not different Programme lengths.
4.3 The Member may tell us at any time during the Initial Term that they do not want the Programme to renew. That does not end the Initial Term early and does not remove amounts due for it, subject to clause 11 and any rights that cannot be excluded by law.
4.4 Access continues to the end of the Initial Term if the Member has paid all amounts when due and complies with this Agreement.
5. Automatic renewal
5.1 Unless the Member cancels renewal under clause 5.4, the Programme automatically renews for a further 12-month Renewal Term on the same payment route.
5.2 Each Renewal Term is a new purchase of 12 months of access at the price notified under clause 5.5. On the Instalment Route, all 12 instalments for that Renewal Term remain payable, subject to clause 11 and any rights that cannot be excluded by law.
5.3 Renewal reminder. Before a Renewal Term begins, we will send a written renewal reminder to the email address on the Member's account. The reminder will state:
(a) the renewal date;
(b) that renewal is for a further 12 months;
(c) the renewal price, and on the Instalment Route both the monthly instalment and the total price for the Renewal Term;
(d) how to cancel renewal;
(e) that cancellation must reach us before renewal is processed.
5.4 Cancelling renewal. The Member may cancel renewal at any time before renewal is processed by emailing [email protected]. Cancellation is effective when received. Cancelling renewal does not end the current Term early or remove instalments due for it.
5.5 Renewal price. The reminder under clause 5.3 will state the price that will apply to the Renewal Term. A price change never applies to a Term already underway.
5.6 Effect. If the Member cancels renewal before it is processed, access continues to the end of the current Term and then ends. No fee is charged for turning off renewal.
5.7 Instalment renewal mechanics. On the Instalment Route, the Renewal Term is paid by 12 monthly instalments on the payment cycle disclosed at checkout.
6. Price, GST and payment
6.1 All prices are in Australian dollars and include GST unless expressly stated otherwise.
6.2 For the Initial Term the Member chooses:
(a) Annual Route: one payment of $2,148 AUD, including GST of $195.27; or
(b) Instalment Route: 12 monthly instalments of $199 AUD, each including GST of $18.09, with a total minimum contract price of $2,388 AUD. Total GST is approximately $217.09, subject to rounding on individual tax invoices.
6.3 The total minimum contract price for the Instalment Route must be displayed at checkout at least as prominently as the monthly instalment amount.
6.4 By choosing the Instalment Route, the Member authorises us and our payment processor to debit the nominated payment method for each scheduled instalment during the Term.
6.5 The Member must keep valid payment details on file. Removing a payment method does not cancel this Agreement or remove amounts due.
6.6 We do not apply a card surcharge, platform fee or other separate mandatory fee on top of the displayed price.
6.7 We will provide a tax invoice or receipt containing the information required by law.
7. Failed payments
7.1 If a payment fails, we may retry it in line with the payment processor's disclosed process and will notify the Member using the contact details on the account.
7.2 The Member must fix the payment issue within 7 days after written notice, unless we agree otherwise in writing.
7.3 We may suspend access while an amount is overdue, and will restore it within a reasonable time after payment or an agreed arrangement.
7.4 Suspension does not cancel the Term or amounts due for it, and does not extend the Term or the access end date.
7.5 Before referring an overdue amount for external recovery, we will give written notice of the amount claimed and a reasonable opportunity to respond or propose an arrangement.
7.6 We may recover reasonable external recovery costs only to the extent permitted by law. We do not charge a contractual late fee.
7.7 A genuine billing dispute or ACL remedy request will be assessed on its merits, and will not be treated as misconduct merely because the Member contacts their bank or payment provider.
8. Access and accounts
8.1 Access is personal to the Member and to authorised people within the purchasing business as permitted at checkout. Login credentials must not be shared outside that scope.
8.2 The Member is responsible for account security, including strong unique passwords, multi-factor authentication where available, secure devices, and prompt notice of suspected unauthorised access.
8.3 The Member must not scrape, probe, attack, disrupt, reverse engineer or attempt unauthorised access to the Programme, its platforms, or another person's account or data.
8.4 Access depends on third-party hosting, payment, community and communications platforms, so temporary interruptions may occur. We will take reasonable steps to restore delivery we control and provide a reasonable alternative if a material interruption continues.
8.5 Access to the Programme, including resources and replays, ends when the Term ends, unless a separate written licence expressly survives.
9. Member conduct
9.1 The Member must provide accurate account and payment information, use the Programme lawfully for legitimate business purposes, respect other participants and their confidential information, avoid harassment, discrimination, threats, spam, impersonation and unlawful content, avoid uploading material they have no right to use, and follow reasonable platform and community rules notified to Members.
9.2 We may remove content or restrict conduct where reasonably necessary to protect people, systems, confidentiality, intellectual property or legal compliance.
9.3 For a breach that can be fixed, we will ordinarily give written notice and a reasonable chance to fix it. We may suspend access immediately where reasonably necessary to address suspected fraud, serious misconduct, unlawful conduct, a security threat, harassment, or material risk to a person or system.
9.4 If a breach is serious or is not fixed after notice, we may terminate under clause 12.
10. Live sessions and recordings
10.1 Live training schedules, topics, formats, frequency and facilitators may change during the Term. We may reschedule, replace or combine individual sessions while continuing to provide practical implementation training and resources. Nothing in this clause limits the Member's rights under the ACL.
10.2 Programme sessions are normally recorded and released to Members as replays. Some sessions are not recorded, for example informal or networking sessions. Where a session will not be recorded, we will say so.
10.3 A recording may capture a Member's name, image, voice, screen, chat or contribution. A Member who does not want to be included should keep their camera and microphone off, keep confidential information out of chat, and contact us beforehand if they need an alternative.
10.4 We may use session recordings within the Programme. We will not use an identifiable Member contribution in public marketing without separate permission, unless the Member has independently made that contribution public.
10.5 The Member must not record, reproduce or distribute a session without our written consent and the consent of any identifiable participant where required.
11. Statutory rights, refunds and change of mind
11.1 Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded, including under the ACL.
11.2 Services supplied to a consumer come with guarantees that cannot be excluded, including that they will be provided with due care and skill, be fit for a disclosed purpose where the law applies, and be supplied within a reasonable time where no time is fixed.
11.3 If there is a major failure, or another circumstance giving the Member a statutory right to cancel or obtain a refund, repair, resupply, compensation or another remedy, we will provide the remedy required by law.
11.4 If a statutory cooling-off period applies to an unsolicited consumer agreement, or in another legally required circumstance, that right applies despite clauses 11.5 and 11.6.
11.5 Subject to clauses 11.1 to 11.4, we do not offer a voluntary refund, credit or release from the agreed price because the Member changes their mind, does not attend or use the Programme, is too busy or has a change in circumstances, expected a result that was not expressly guaranteed, or decides the Programme no longer suits their preferences.
11.6 There is no voluntary 14-day refund period for the Initial Term.
11.7 A request under this clause is assessed on its facts. Contact [email protected] with the purchase details, the issue and the remedy requested. We may ask for reasonable information needed to assess it.
11.8 Nothing here requires the Member to give up a statutory right, or prevents them contacting a consumer protection body, regulator or court.
12. Cancellation and termination
12.1 The Member may cancel renewal at any time under clause 5. That prevents the next Term and takes effect at the end of the current Term.
12.2 Cancelling renewal during a current Term does not entitle the Member to a refund of amounts already paid for that Term, and does not remove instalments due for it, except where this Agreement or the law provides otherwise.
12.3 We may terminate immediately by written notice if the Member commits fraud or uses the Programme unlawfully, creates a serious and immediate risk to a person, system or the Programme, seriously harasses, threatens or abuses another person, or materially infringes our or another person's intellectual property.
12.4 For another material breach, we may terminate only after written notice describing the breach and a reasonable chance to fix it.
12.5 If we terminate for the Member's serious or unremedied breach, amounts already due remain payable. Any claim for future amounts must be reasonable, reflect our actual loss, account for costs avoided, and must not operate as a penalty.
12.6 We may discontinue the Programme for business reasons on reasonable written notice. If we cannot provide a reasonable equivalent for the unused part of the Term, we will refund that unused part pro-rata, plus any further remedy required by law.
12.7 Clauses that by their nature continue after termination do continue, including accrued payments, intellectual property, confidentiality, liability, disputes and interpretation.
13. Annual Route inclusion
13.1 A Member on the Annual Route also receives one private 60-minute AI Business Power Session for the relevant Term.
13.2 The Member must book the Power Session within the Term.
13.3 It is included once per Annual Route Term. Further sessions are separate paid engagements.
14. AI, automation and Member responsibility
14.1 AI and automation systems can produce inaccurate, incomplete, biased, outdated, infringing, insecure or unsuitable outputs, and can behave differently after model, software, policy or platform changes.
14.2 The Member remains responsible for decisions made, actions taken and materials published in their business, including when using Programme materials, AI outputs, automations or recommendations.
14.3 Before relying on or deploying an output, workflow, automation, skill or system, the Member must apply human review appropriate to the risk, covering accuracy, legality, privacy, confidentiality, intellectual property, security, brand, professional obligations and regulatory requirements.
14.4 The Member must not put confidential, personal, health, financial, privileged or client information into an AI or third-party system unless they have authority to do so and have assessed that system's terms, privacy, retention, security and data-use settings.
14.5 The Programme does not transfer the Member's legal, professional, ethical, employment, privacy, cybersecurity or regulatory responsibilities to us.
14.6 We do not make decisions for the Member, and do not guarantee an AI or automation outcome will be accepted by any platform, regulator, client or other third party.
15. Skills, code, GitHub and third-party technology
15.1 We take reasonable care preparing and sharing Provider Materials. That care is not a security certification, code audit, penetration test, or guarantee that a file, skill, script, plugin, workflow or dependency is error-free, vulnerability-free, compatible with the Member's environment, or safe for every use.
15.2 Technology changes quickly. Material that worked when created may later be affected by an operating system, model, platform, dependency, permission, policy, pricing or security change.
15.3 Before installing, authorising or running any skill, code, plugin, package, repository, connector, integration, command or automation, the Member must take care appropriate to their systems and data. Where relevant, that includes confirming the source, owner, licence, version and maintenance status; reviewing code, permissions and dependencies; scanning files with appropriate security tools; testing outside production; keeping current backups and a rollback method; using least-privilege access and separate test credentials; checking privacy, data residency, telemetry and retention settings; and getting independent technical or security advice where the risk warrants it.
15.4 Third-Party Materials are controlled by their owners and governed by their own terms and licences. The Member decides whether to access, install, authorise, modify or use them, and must comply with those terms.
15.5 A mention, demonstration, listing or link does not mean we own, control, monitor or guarantee a Third-Party Material, and is not an endorsement of every version, maintainer, dependency or future change.
15.6 GitHub and similar repositories can change without notice and may contain code from many contributors. The Member must review the exact repository, branch, release, commit, licence and dependencies they choose to use.
15.7 We are not responsible for a third party's outage, price change, data handling, security incident, malicious conduct, licence change, product change or discontinuance, except to the extent we caused or contributed to the loss or the law provides otherwise.
15.8 The Member must promptly stop using and tell us about any Provider Material where they identify a credible security, privacy or integrity concern. We will assess reports about our own materials and take reasonable corrective action.
16. No guaranteed business outcome
16.1 Examples, demonstrations, testimonials and past results illustrate possibilities, not promises of a particular outcome.
16.2 We do not guarantee revenue, profit, savings, rankings, discoverability, audience growth, leads, sales, productivity, funding, compliance or any other business result.
16.3 Outcomes depend on factors outside our control, including the Member's implementation, judgement, offer, audience, systems, data quality, market conditions and third-party platforms.
16.4 Nothing in this clause limits an express promise actually made at checkout, or a right that cannot be excluded by law.
17. Intellectual property
17.1 We and our licensors retain ownership of Provider Materials and all pre-existing intellectual property, including methods, frameworks, brands, training, templates, prompts, skills, workflows, recordings and know-how.
17.2 While the Member has lawful access, we grant a limited, non-exclusive, non-transferable, revocable licence to use and adapt Provider Materials for the Member's own internal business operations.
17.3 The Member owns their Member Content and, as between us, their original business outputs, subject to our rights in the underlying Provider Materials, third-party rights and licence terms, and the law on AI-generated material, which may not confer ownership or exclusivity in every case.
17.4 Unless we give prior written permission, the Member must not share access or credentials outside the permitted scope; copy, recreate, substantially replicate, repackage, resell, sublicense, distribute, publish or otherwise commercially exploit Provider Materials; use Provider Materials, including our skills, resources, tools, templates, prompts or workflows, as the basis of a course, membership, training programme, template library, competing product or paid service delivered to others; remove proprietary notices; or reproduce or distribute session recordings.
17.5 Clause 17.4 does not prevent the Member applying what they learn to provide their ordinary business services, provided they do not distribute or teach the Provider Materials themselves, or present our work as their own.
17.6 Third-Party Materials remain subject to their own licences. Nothing here expands or replaces those licences.
17.7 These licences and restrictions continue after the Term to the extent necessary to protect existing rights. The Member may keep using their own original business outputs, but may not retain or use Programme access or Provider Materials where the licence was limited to an active Term.
18. Member Content, confidentiality and privacy
18.1 The Member keeps ownership of Member Content and gives us a limited licence to host, copy, process and display it only as reasonably necessary to deliver, administer and support the Programme.
18.2 The Member confirms they have the rights needed to give us Member Content and to use it in any system they choose.
18.3 Each party must use reasonable care to protect the other's confidential information and use it only for the purpose it was supplied. This does not apply to information that is public other than through breach, independently developed, already lawfully known, or required to be disclosed by law.
18.4 Group sessions and the community involve other participants. We require respectful confidentiality but cannot guarantee another participant will comply. The Member should not share trade secrets, passwords, sensitive personal information, or anything they are not authorised to disclose, in a group setting.
18.5 We handle personal information under our Privacy Policy at https://www.debszabo.com/privacy and applicable privacy law.
18.6 Delivery may use third-party platforms that process information in Australia or overseas. The Member should review a platform's privacy and security information before uploading sensitive data.
18.7 Marketing consent is separate from accepting this Agreement. The Member is not required to agree to unrelated marketing as a condition of purchase, apart from operational messages needed to run the Programme and the account.
19. Feedback and testimonials
19.1 Feedback is voluntary. We may use non-confidential feedback to improve the Programme without payment, but will not publicly identify the Member, or use an identifiable testimonial, image, case study or business result in marketing, without separate permission.
19.2 Permission for marketing use may be withdrawn prospectively by written notice, subject to any use already lawfully published or committed before withdrawal.
20. Our responsibility and liability
20.1 We will supply our services to the standard required by law, including due care and skill where the ACL applies.
20.2 Nothing in this Agreement excludes, restricts or modifies liability, rights or remedies that cannot lawfully be excluded.
20.3 To the maximum extent permitted by law, we are not liable for loss caused solely by the Member's failure to follow clear safety, security or implementation instructions; an unauthorised change made by the Member or a third party; the Member's decision to deploy unreviewed AI output or code; a Third-Party Material or platform outside our reasonable control; or inaccurate, incomplete or unlawful Member Content.
20.4 Liability is reduced to the extent the Member or another person caused or contributed to the loss.
20.5 To the maximum extent permitted by law, neither party is liable for indirect or consequential loss that was not reasonably foreseeable when this Agreement was accepted. This does not exclude liability for reasonably foreseeable loss recoverable under the ACL.
20.6 To the maximum extent permitted by law, our aggregate liability for a single event or connected series of events is limited to the price payable by the Member for the affected Term. This limit does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, breach of confidentiality or privacy caused by us, infringement of third-party intellectual property by Provider Materials, or any liability that cannot lawfully be limited.
20.7 These limits must be read down or severed to the minimum extent necessary to make them lawful and fair.
21. Member responsibility for third-party claims
21.1 The Member is responsible for third-party claims, losses and reasonable costs directly caused by their unlawful use of the Programme, material infringement of another person's rights, deliberate misuse of a system, or material breach of clauses 9 or 17.
21.2 That responsibility is reduced to the extent we caused or contributed to the claim or loss.
21.3 We must give prompt notice of a claim, allow the Member reasonable participation in its defence, and take reasonable steps to limit avoidable loss.
21.4 This clause is not intended to make the Member responsible for our negligence, breach, unlawful conduct, or risks we are better placed to control.
22. Events outside reasonable control
22.1 Neither party is liable for delay or failure caused by an event outside its reasonable control, including natural disaster, serious illness, government action, widespread communications failure or a material third-party platform outage.
22.2 The affected party must notify the other as soon as reasonably practical and take reasonable steps to reduce the impact and resume performance.
22.3 Payment obligations for services already supplied are not excused by this clause.
22.4 If such an event prevents a material inclusion for an extended period, we will offer a reasonable reschedule, alternative or credit. If no reasonable remedy is possible, either party may end the affected part, and we will refund any amount required by law for the undelivered part.
23. Complaints and disputes
23.1 A Member may raise a concern by emailing [email protected], identifying the purchase, the issue, relevant dates and the outcome sought.
23.2 We will acknowledge within 2 Business Days and aim to respond substantively within 10 Business Days. If more time is reasonably needed, we will explain why and give an updated time frame.
23.3 The parties will first try to resolve a dispute through good-faith discussion.
23.4 If a dispute is unresolved after 20 Business Days, either party may propose mediation administered by the Resolution Institute or another mediator agreed in writing. Unless agreed otherwise, mediation will be online or in New South Wales, and the parties share the mediator's fee equally.
23.5 Nothing here prevents either party seeking urgent relief, pursuing a debt that is not genuinely disputed, exercising a statutory right, or contacting a regulator, consumer protection body or court.
24. Notices
24.1 Notices must be sent by email to us at [email protected], and to the Member at the email address on their account.
24.2 An email is treated as received when it enters the recipient's information system, unless the sender receives an automated failure notice. A cancellation notice is effective when received under clause 5.4.
24.3 The Member must keep their contact details current. Renewal notices sent to the last email address provided are not invalid merely because the Member did not update it, subject to applicable law.
25. Changes to this Agreement
25.1 We may make reasonable administrative, technical or legal updates that do not materially reduce a Member's rights or Programme value. We will publish the new version and notify affected Members where relevant.
25.2 We will not retrospectively impose a material adverse change on a current Term without the Member's express agreement or a reasonable remedy.
25.3 A new version may apply to a Renewal Term only if we provide it with the renewal reminder under clause 5.3 and clearly identify what changed. The Member may cancel renewal under clause 5.4 if they do not want it to apply. Continuing to use the Programme is not by itself acceptance of a term that must be separately agreed.
25.4 Changes required immediately by law, security or a third-party platform may take effect on reasonable notice. We will minimise adverse impact and provide any remedy required by law.
26. General
26.1 This Agreement and the applicable checkout schedule are the entire agreement about the Programme, apart from rights arising by law and any written variation accepted by both parties.
26.2 A failure or delay in exercising a right is not a waiver of it.
26.3 If a provision is invalid or unenforceable, it will be read down to the minimum extent necessary, or severed, with the remainder continuing.
26.4 The Member may not transfer this Agreement without our written consent, which will not be unreasonably withheld for a genuine business restructure. We may transfer it as part of a genuine sale or restructure only if that does not materially reduce the Member's rights and the new provider takes on the obligations.
26.5 Nothing here creates employment, partnership, agency, fiduciary duty or joint venture.
26.6 This Agreement is governed by the laws of New South Wales, Australia. The parties submit to the non-exclusive jurisdiction of the courts of New South Wales and courts hearing appeals from them.
