Deb Szabo

AI Brain for Business VIP Immersion terms of purchase

Version 1.0 · Effective 12 October 2026

1. Who this is between

1.1 This Agreement is between Deborah Szabo ABN 65 019 159 662, trading as Deb Szabo (we, us, our), and the person or organisation named as the purchaser (Client, you, your).

1.2 It covers your purchase of the AI Brain for Business VIP Immersion (Immersion).

1.3 You accept this Agreement when you complete your purchase. Purchasing the Immersion means you agree to these terms. Electronic acceptance has the same effect as signing, to the extent permitted by law.

1.4 If you purchase for a company, partnership, trust or other organisation, you confirm you have authority to bind it, and Client includes that organisation and every person who attends on its behalf.

2. What you receive

2.1 The Immersion is one 12-month program in two phases.

2.2 Phase one is:

(a) a pre-session digital, SEO and visibility audit of your business;

(b) two consecutive one-to-one days with Deb Szabo, in the delivery format confirmed at booking;

(c) your strategy work, including your Revenue Roadmap and your Business, Brand and Content DNA;

(d) your AI Workspace, with the operating systems, skills and connectors we set up with you during the two days; and

(e) a post-session action plan.

2.3 Phase two is 12 months of implementation support inside Content Catalyst. The 12 months start on the date of your payment, because your Content Catalyst access begins straight away.

2.4 For in-person delivery, lunch is included on both days. For Hunter Valley delivery, overnight accommodation is included. Travel, other meals and anything not listed here are your own cost.

2.5 Your Content Catalyst access in phase two is also governed by the Content Catalyst 12-Month Programme Agreement. If the two agreements conflict about the Immersion, this Agreement applies. After the 12 months, your Content Catalyst membership renews automatically under that agreement unless you cancel the renewal.

2.6 The Immersion does not include third-party software licences, subscriptions or usage charges, done-for-you work after the two days, or legal, financial or tax advice.

3. Investment and payment

3.1 The investment is $7,697 AUD including GST. It is one flat amount for the business, not per person.

3.2 The investment is paid in full at purchase. A payment plan is available only where we agree to it in writing.

3.3 Your dates are held only once payment has been received.

3.4 We will provide a tax invoice.

4. Dates, rescheduling and cancellation

4.1 If you need to move your dates for any reason, we can do that. Tell us as early as you can and we will offer you the next available dates.

4.2 We begin work as soon as you purchase, including your pre-session audit and research, and your Content Catalyst access starts straight away. Two Immersions are available each month, so a confirmed date is reserved for you.

4.3 For that reason, your purchase is a firm booking. Subject to clause 4.5, we do not offer a refund, credit or release from the investment because you change your mind, your circumstances change, or you decide not to go ahead. Dates can be moved. They are not refunded.

4.4 If we need to move your dates because of illness or an event outside our reasonable control, we will offer the next available dates. If no reasonable alternative can be found, we will refund the amount required by law for anything not delivered.

4.5 We abide by the Australian Consumer Law.

5. What we need from you

5.1 Complete the onboarding form and give us the access and information we ask for before the two days, so the audit can be done and the sessions start prepared.

5.2 Bring the people who make decisions in the business. The two days are built around them.

5.3 You are responsible for the accuracy of what you give us, and for having the right to share it.

6. Who owns what

6.1 What stays ours. We own, and keep owning, everything we bring to the Immersion and everything we created before it. That includes our methods, frameworks, diagnostics, question sets, the Business DNA and Brand DNA processes, the VIVID Story Framework, AI Workspace structure, skills, plugins, prompts, workflows, operating systems, templates, guides, training and know-how, and any improvement to them made during your Immersion (Provider Materials).

6.2 What is yours. You own your business information, your data, your brand, and the finished business outputs created for your business during the Immersion, such as your completed Business DNA, Brand DNA, Revenue Roadmap, messaging and content (Client Outputs). This is subject to our rights in the underlying Provider Materials, third-party licence terms, and the law on AI-generated material, which may not give ownership or exclusivity in every case.

6.3 Your licence. We give you a non-exclusive, non-transferable licence to use and adapt the Provider Materials installed in your AI Workspace inside your own business, for your own internal operations and your own marketing. This licence continues after the 12 months for what was installed during your Immersion, as long as you comply with this Agreement. Access to Content Catalyst, and to materials supplied only through it, ends when your Content Catalyst term ends.

7. What you may not do with our materials

7.1 Unless we give you written permission first, you must not:

(a) use Provider Materials to deliver a service, product or result to your own clients or to any other business;

(b) copy, recreate, substantially replicate, repackage, rebrand, white label, resell, sublicense, distribute or publish Provider Materials;

(c) install, share or reproduce our AI Workspace structure, skills, plugins, prompts, workflows or operating systems in any other business, including a business you own, advise or work for;

(d) use Provider Materials as the basis of a course, membership, training, workshop, template library, software product, AI assistant, custom GPT, agent, consulting method or any competing product or paid service;

(e) feed Provider Materials into an AI system for the purpose of reproducing, reverse engineering or imitating them;

(f) present our work, methods or frameworks as your own; or

(g) remove our name or proprietary notices.

7.2 If your business sells AI, automation, marketing or consulting services. Clause 7.1 applies to you in full. The Immersion builds your own business. It does not license you to deliver our methods, frameworks, diagnostics or systems to your customers, in whole or in part, under any name.

7.3 What you can still do. You may use the general skills and knowledge you gain to run and grow your own business and to provide your own services, as long as you build those services from your own materials and do not use, adapt or reproduce Provider Materials to do it.

7.4 Want to use it with your clients? Client-facing or commercial use is available only under a separate written licence from us, on terms and fees agreed in writing before any such use.

7.5 Clauses 6 and 7 continue after the Immersion and after your Content Catalyst term ends.

8. Confidentiality and recordings

8.1 Each of us will protect the other's confidential information and use it only for the Immersion. Our Provider Materials are our confidential information.

8.2 We may transcribe sessions so we can prepare your action plan and support you. You must not record, transcribe, reproduce or share a session without our written consent.

8.3 We will not use your name, business or results in our marketing without your permission.

8.4 We handle personal information under our Privacy Policy.

9. AI, third-party platforms and your responsibility

9.1 AI and automation systems can produce inaccurate, incomplete or unsuitable outputs, and can behave differently when a model, platform or policy changes. You must review outputs before relying on them or publishing them.

9.2 You remain responsible for the decisions made, actions taken and materials published in your business.

9.3 Software and skills made by others. During the Immersion we may install, connect or set up software, skills, plugins, connectors, code and open-source tools that are made by other people (Third-Party Materials). They are owned and controlled by their makers and governed by their own terms, licences and charges.

9.4 We do not own, control, maintain or guarantee Third-Party Materials. Installing, demonstrating or recommending one is not a promise that it is secure, free of errors, compatible with your systems, or that it will keep working or stay available.

9.5 You decide whether to install, authorise and keep using any Third-Party Material. You are responsible for its licences, subscriptions, usage charges, updates, security, backups, and how it handles your data.

9.6 We take reasonable care with what we install. That care is not a security certification, code audit or ongoing maintenance service.

9.7 To the maximum extent permitted by law, we are not responsible for loss caused by a Third-Party Material, including an outage, fault, update, price change, licence change, security incident, data loss or discontinuance, except to the extent we caused the loss.

9.8 Our own skills and systems. We take reasonable care building and installing our own skills, workflows and systems. That care is not a guarantee that they are free of errors, compatible with every system, or suitable for every use.

9.9 Technology changes quickly. Something that worked when we installed it may later be affected by a change to an AI model, platform, operating system or policy. Keeping your systems updated after the two days is your responsibility, with the support available to you inside Content Catalyst.

9.10 Test anything we install before you rely on it in your business, and keep your own backups.

10. No guaranteed business outcome

10.1 Examples, testimonials and past results show what is possible. They are not promises.

10.2 We do not guarantee revenue, profit, leads, sales, rankings, discoverability or any other business result. Outcomes depend on things outside our control, including your implementation, offer, market and third-party platforms.

11. Our responsibility and liability

11.1 We will deliver the Immersion with due care and skill.

11.2 To the maximum extent permitted by law, our total liability for a single event or connected series of events is limited to the price you paid for the Immersion. This limit does not apply to fraud, wilful misconduct, or any liability that cannot lawfully be limited.

11.3 To the maximum extent permitted by law, neither of us is liable for indirect or consequential loss that was not reasonably foreseeable when this Agreement was accepted.

12. If these terms are breached

12.1 If you breach clause 7 or 8, we may end your licence and your Content Catalyst access by written notice, and you must stop using Provider Materials and remove them from any place they should not be. Amounts already paid are not refundable in that case, except where the law requires.

12.2 You agree that a breach of clause 7 may cause us loss that money alone would not fix, and that we may seek urgent court orders to stop it, as well as any other remedy available.

13. Disputes and general

13.1 Raise any concern by emailing [email protected]. We will first try to resolve it through good-faith discussion, and then mediation in New South Wales or online if it is unresolved after 20 Business Days.

13.2 This Agreement and your booking confirmation are the entire agreement about the Immersion, apart from rights arising by law and any written variation we both accept.

13.3 If a provision is invalid or unenforceable, it will be read down or severed to the minimum extent necessary, and the rest continues.

13.4 You may not transfer this Agreement or your licence without our written consent.

13.5 This Agreement is governed by the laws of New South Wales, Australia.
